STEPS FOR COMPANY FORMATION

Initial Documents Required

For new company which is not a branch or subsidiary of any existing company in any geographies in the world

  • Passport copy of the Owner
  • ID Card copy of the Owner
  • If the partner is out of Bahrain than – Authorization letter/Power of Attorney

In case of branch or Subsidiary company

  • ID of authorized person
  • License copy and memorandum of parent company
  • Board Resolution

 

STEP 1 – Security Clearance

The partner or partners name will be submitted to Security department for Name clearance. This would typically take 4-5 days once submitted.

STEP 2 – Register Your Business Name: 

The company would be required to provide choice of three unique and relevant names for business. These names will be submitted to the Ministry of Industry and Commerce (MOICT) for availability checks and approval. The chosen name should comply with Bahrain’s naming conventions and should not be similar to any existing company name or trademarks. (Timeline 4 days)

STEP 3 – Secure an Office Address: 

The business owner will be required to get a registered office address. The office can be either physical office, shared office or incubator. (Timeline 3-4 days)

 

STEP 4 – Draft and notarize legal documents

Once the address is approved, we will prepare the memorandum and submit to ministry for approval.  The MOA serves as a foundational document for your company. The Ministry of Justice may require additional documents along with the MOA for notarization. (Timeline 4-5 days)

 

STEP 5 – Open a corporate Bank Account

We will be assisting you to open your bank account. Once the bank account is opened, the capital will be deposited, and a capital deposit certificate will be obtained from the Bank. (Timeline 5 days)

 

STEP 6Geeting License/ Final CR

Once the capital deposit report is received the same should be submitted to the ministry for kind approval.  (Timeline 1 day)

To establish a new Commercial Registration (CR) branch in Bahrain, following documents are required

Change of Address

 To change address of any Commercial Registration (CR), following documents are required

Change of CR Activity

To change activity undertaken by company for any company, following documents are required.

  4.  Name and code of activity (Which is to be added or deleted)

 To change any partners i.e. addition of partner or removing of partner, the following documents are required

Support Mechanism

Tamkeen provides grand covering up to 50% of the total amount required by the enterprise for the following

  • Marketing and branding including products/services

 

Business Growth Program

Program supports the growth of existing enterprises by providing them with support to achieve business objectives such as local or overseas market expansion, launch of new products and services, franchising, and export expansions.

Eligibility criteria

  • Bahrain based enterprise with active CR
  • CR is more than 3 years old
  • Enterprise not having activity of a holding company.

Support Mechanism

Tamkeen provides grand covering up to 50% of the total amount required by the enterprise for the following

  • Machinery and equipment
  • Technology including software/services/hardware
  • Marketing and branding including products/services

 

FINANCING SUPPORT PROGRAM

This program is a collaboration with local banks, offering Sharia compliant subsidized financing solutions to support enterprises with their growth and expansion plans.  

Eligibility criteria

  • Enterprise must have an active CR/license    
  • Enterprise must have audited financials (if operating for more than 3 years)   
  • Enterprise must apply through a partner bank  

 

Support Mechanism

Tamkeen subsidize part of the financing profit up to the approved cap amount.

 

NATIONAL EMPLOYMENT PROGRAM

The program is to assist the private sector companies to employ nationals through wage support for up to five years.

While this program is open for employing graduates from all educational backgrounds, there are also tracks under the program which support specializations such as doctors, actuaries, and engineers to cater to the specific needs of their sectors.  

Eligibility criteria

 For enterprises:   

  • Enterprise must have an active CR/license 
  • Enterprise must not have violations from Tamkeen or LMRA 

 

For employees:  

  • Employee must be a Bahraini national 
  • Employee must be a fresh graduate with 24 months of experience or less, or a jobseeker nominated by the Ministry of Labour, or a jobseeker employed through the Ministry’s Jobs+ Program  
  • Employee joined the enterprise less than 6 months ag

 

Support Mechanism

Tamkeen support a percentage of the wages of the employees upto 5 years and enterprises can select one of following options as per their requirements:

  • Three years with 70% Y1,  50% Y2 and 30% Y3
  • Three years with 50% support across all years 
  • Five years with 30% support across all years
